UAE Corporate Tax: Is Your Business Eligible for the 0% Rate?

Free Zone status alone does not automatically mean 0% Corporate Tax.

The introduction of Corporate Tax has changed how businesses need to think about their structures, operations and compliance in the UAE.

UAE Corporate Tax and 0% rate eligibility for Free Zone companies

While the UAE continues to offer a competitive tax environment, the 0% Corporate Tax rate is not automatically available to every business. Whether it applies will depend on factors including where the business sits within the Corporate Tax regime, the nature of its activities and income, and whether the relevant qualifying conditions are met.

Understanding the UAE Corporate Tax rates

For businesses subject to the standard Corporate Tax regime:

0% Corporate Tax
Applies to taxable income up to AED 375,000.

9% Corporate Tax
Applies to taxable income above AED 375,000.

But for businesses operating in a UAE Free Zone, the position can be different.

What about Free Zone companies?

A Free Zone company that qualifies as a Qualifying Free Zone Person may benefit from:

0% Corporate Tax on Qualifying Income

and

9% Corporate Tax on taxable income that does not meet the Qualifying Income requirements.

The important point is that being established in a Free Zone does not, by itself, determine whether the 0% rate applies.

Eligibility depends on more than your activity

A business may also need to satisfy a number of conditions to benefit from the relevant Free Zone Corporate Tax treatment.

These can include:

Adequate substance
The business must meet the relevant substance requirements connected to its activities.

Audited financial statements
Appropriate financial reporting and audit requirements may apply.

Transfer pricing compliance
Transactions with related parties need to be considered within the applicable transfer pricing framework.

Limits on non-qualifying revenue
The level and nature of non-qualifying revenue can affect eligibility.

This means two businesses operating from UAE Free Zones may have very different Corporate Tax positions depending on how they are structured and how they operate.

What about dividends and capital gains?

For investment holding structures, dividend income and capital gains may benefit from the Participation Exemption where the relevant requirements are satisfied.

These can include ownership, holding-period, taxation and other statutory requirements.

The appropriate treatment therefore needs to be considered in the context of the individual structure rather than assumed based on the type of investment alone.

Is your UAE structure positioned correctly?

Corporate Tax should not be considered only at filing stage.

The structure of the business, the activities being undertaken, where income is generated and the operational requirements supporting the structure can all affect the Corporate Tax position.

A review can help determine whether the structure you have today — or one you are considering establishing — remains appropriate for your business and its growth plans.
